Anthropic IPO (ANT): S-1 Status, Valuation, and Timeline

Anthropic, the developer of Claude, publicly filed its IPO prospectus (Form S-1) with the SEC on October 26, 2026 and plans to list on Nasdaq under the ticker ANT. As of November 2, 2026, the IPO has not happened.
The price range, share count, and listing date are still blank, and the EDGAR filing index shows no S-1 amendment after the October 26 document. Timelines in circulation, such as a listing target in the week of November 16, still come from media reports, not company announcements.
What Is the Status of Anthropic's IPO Right Now?
Anthropic is past the "considering" and "preparing" stages: the public prospectus is filed, but the offering has not been set.
| Development | Status as of November 2, 2026 |
|---|---|
| Confidential draft S-1 (DRS) submitted June 1, 2026, then amended five times (July 13, August 10, September 4, October 1, October 9) | Listed in the EDGAR filing index |
| Public S-1 filed October 26, 2026, Nasdaq Global Select Market, ticker ANT, 22 underwriters led by Goldman Sachs and Morgan Stanley | SEC filing |
| Price range, share count, and offering size | Still blank. Company statement on October 26: not yet determined |
| S-1/A amendment or final prospectus (424B) | None in the EDGAR index as of November 2 |
| Roadshow | November 10, 2026 at the earliest, under the 15-day rule after the public filing. This is a rule-based earliest date, not an official schedule |
| Listing target | WSJ (October 26): week of November 16. Bloomberg (October 1): before Thanksgiving, November 26. Neither confirmed by the company |
| Prediction markets | Polymarket (October 26): about 83.5% odds trading starts before November 30. This is a prediction, not official information |
A note on EDGAR: the absence of an S-1/A in the index only means none was listed at the time of the check. New filings can appear at any time, so recheck EDGAR before citing this status.
Timelines can slip, especially while the IPO market is unsettled. Dealroom noted that Firmus pulled its IPO this month, while SK Hynix and Solidigm called off listing plans because of market conditions. On October 29, Alphabet shares fell about 12.6% and the Nasdaq Composite fell 1.38% after Big Tech quarterly reports (Gotrade summary). Worries about debt-funded AI spending weighed on sentiment.
Anthropic is not yet listed, so there is no official trading price. Pre-IPO quotes on data platforms, such as ones using codes like "ANTH.PVT", are not the ANT share price. Also beware of ETFs or other products with similar names, since they are not Anthropic stock.
Why Is Anthropic in the Spotlight?
Anthropic is the company behind the Claude AI models and competes with OpenAI, Google, and Microsoft in the enterprise AI market. According to AP and Reuters, more than half of Fortune 500 companies spent at least US$100,000 with Anthropic in the 12 months through September 30, 2026. The Motley Fool reported that the number of customers spending over US$100,000 rose from more than 950 to more than 11,900.
Amazon and Google are strategic investors as well as cloud providers. According to StockTitan's summary of the S-1, Amazon will hold more than 5% after the IPO, while Google's shares carry no voting rights. Dealroom noted that conversion of Amazon's notes is capped at 12% and Google's stake at up to 14.99%. The S-1 also says Google may buy up to an additional US$10 billion at the IPO price.
Sales through the Amazon, Google, and Microsoft cloud marketplaces made up about 48% of first-half 2026 revenue. The top five customers made up about 25% of revenue for the first nine months of 2026 and none exceeded 10% in that period, but one customer made up 11% in the first half (StockTitan, S-1 summary).
How Big Could Anthropic's IPO Be?
All figures below come from reporting and summaries that cite the prospectus, unless stated otherwise. Check the S-1 on the SEC website for final numbers.
Revenue and profitability
| Metric | Figure |
|---|---|
| 2025 revenue (audited) | US$4.6 billion |
| Q1 2026 revenue | US$4.7 billion |
| Q2 2026 revenue | US$11.6 billion |
| H1 2026 revenue | US$16.3 billion, versus about US$1.16 billion in H1 2025 |
| Q2 2026 operating profit | US$974 million |
| H1 2026 operating loss | US$693 million |
| H1 2026 net loss | US$80.7 billion, of which about US$72.4 billion is non-cash |
| H1 2026 operating cash flow | +US$3.9 billion |
| Cash and short-term investments (June 30, 2026) | US$131.7 billion |
About US$72.4 billion of the net loss came from non-cash changes in the fair value of convertible debt, derivatives, and SAFEs. Without it, the first-half net loss was about US$8 billion. According to The Motley Fool, Q2 was the only quarter with an operating profit among the six quarters shown. Q3 revenue of about US$16.8 billion was reported by the FT and Bloomberg (October 14) as a figure shared with prospective investors. That is a media report, not a number in the S-1.
Compute commitments
Minimum compute commitments, regardless of usage, according to the table in StockTitan's summary of the S-1:
| Partner | Minimum commitment |
|---|---|
| Amazon | about US$110.0 billion (May 2026 to April 2036) |
| about US$114.5 billion (April 2026 to July 2033) | |
| Microsoft | US$44.9 billion (November 2026 to May 2033) |
| Broadcom (lease) | about US$161.2 billion |
| SpaceXAI | up to about US$120.5 billion |
| Nscale, Lambda, AMD | about US$44.6 billion, US$41.3 billion, and more than US$20 billion |
Added together, these commitments come close to the roughly US$657 billion total reported by Dealroom, and line up with the "more than US$430 billion locked in" and "up to US$637 billion" figures at Yahoo Finance. This is our own arithmetic, and differences between outlets probably come from definitions (for example, whether AMD is counted).
Valuation and offering size (not set)
- Last funding valuation: US$965 billion (post-money), after raising US$65 billion in May 2026.
- Range discussed in the media: WSJ (October 26) cited US$1.5 trillion to US$2 trillion, with an offering that could exceed US$100 billion. Reuters (October 15) said some investors discussed about US$1.5 trillion and others weighed a lower value because revenue growth was slowing. All of these are estimates, not company guidance.
- Benchmark: SpaceX priced its IPO at US$135 per share on June 11 and raised about US$86 billion according to AP and Reuters.
- Prediction: Polymarket put the most likely IPO valuation range at US$1.5 trillion to US$1.75 trillion (58%). This reflects forecasters' views, not official data.
Share structure and ownership
Class A shares listed on Nasdaq carry one vote per share. One Class T share is held by the Long-Term Benefit Trust, which elects a majority of the board, and Anthropic is allocating 5% of fully diluted shares to the Anthropic Public Benefit Fund (StockTitan and Yahoo Finance, S-1 summaries). Dealroom also noted about US$108.6 billion of convertible notes converting at the IPO. Some of the shares sold come from existing shareholders, not from the company. Lock-up rules are layered for executives, employees, and founders, so read the Underwriting section of the S-1 before concluding when shares can be sold.
Risks disclosed by the company
The prospectus warns that growth could slow and that there is no guarantee growth will continue. According to The Motley Fool, the S-1 estimates that 5% to 7% of January to September revenue came from customers violating usage policies, and that most revenue is consumption-based rather than long-term contracts. Yahoo Finance also noted a supply chain risk designation from the Pentagon, which Anthropic is challenging in court.
What Does It Mean for the AI Industry?
Competition. An open prospectus gives a direct benchmark on growth rate, cost structure, and dependence on compute. OpenAI was reported to have confidentially submitted a draft S-1 on June 8, 2026, with no confirmed listing date, so comparisons between the two will sharpen.
Capital markets. An offering of this size absorbs a lot of liquidity in a short time. Institutional investors may need to rebalance among large tech stocks. For context on a previous mega-IPO, read the SpaceX stock analysis on Mobee Academy.
Related companies. The prospectus cites dependence on Amazon, Google, Microsoft, and Broadcom as a potential vulnerability (AP and Reuters). Anthropic's compute commitment with Microsoft is recorded at US$44.9 billion, up from the US$31 billion disclosed earlier (Dealroom). For the Microsoft side, see our article on MSFT stock after its fiscal Q1 2027 report.
What to Watch Next
- An S-1 amendment with a price range. This sets the IPO valuation, share count, and offering size. Watch EDGAR for an S-1/A and a 424B prospectus.
- Roadshow start. November 10, 2026 at the earliest. A listing target in the week of November 16 and "before Thanksgiving" are still media reports.
- Q3 numbers. The roughly US$16.8 billion figure comes only from media reports. Check whether an updated prospectus includes it.
- Note conversion, compute commitments, and lock-ups. Ownership structure and non-cash charges need to be read directly in the document.
- Customer concentration. A large share of sales runs through the Google, Amazon, and Microsoft clouds, and the prospectus itself warns the growth rate could fall.
- Tech market conditions. Sentiment on AI spending, other IPO cancellations, and Big Tech share reactions will affect investor appetite.
Conclusion
Anthropic has filed a public S-1 under ticker ANT on Nasdaq, after confidential filings since June 2026. That is a real step toward an IPO, but as of November 2, 2026 the IPO has not happened. Price, share count, valuation, and listing date are not set, and there is no S-1 amendment on EDGAR yet.
Its revenue growth is large, and so are its net loss and compute commitments. Developments still need to be watched until an updated prospectus, the roadshow start, and pricing.
